Code of Conduct

The H2 Springboard Ecosystem

H2 Springboard Ecosystem (“Ecosystem”) is a network of collaborative-spirited companies and organizations sharing a joint mission for making hydrogen economy commercially viable. Members of the Ecosystem chart together new ways to address key hydrogen economy challenges by leveraging the collective power of networked collaboration.

Purpose

Maintaining compliance with all applicable laws as well as good and ethical business practices are required in pursuing the H2 Springboard mission. Ecosystem members additionally promote collaborative and mission-driven mindset required to foster environment where ideas and engagement is possible without fear of misuse of information. The Code of Conduct serves as a testimonial for complying with the laws and regulations that apply to our activities and good and ethical business practices in the Ecosystem for creating a fair and dynamic business environment. This Code of Conduct serves as a complementary guideline to the existing codes of conduct adhered to by our participants and other related parties in their respective organization.

Principles

A) Independence: Companies make their business decisions independently of one another.

B) Non-discrimination: Participating companies can enter markets freely. Each member avoids collaborative setups that would otherwise restrict fair competition.

C) Legal compliance: Ecosystem members comply with all applicable laws and regulations and follow good and ethical business practices cohesively.

D) Culture of innovation: The Ecosystem needs open dialogue among its members to form a proactive and mission-driven culture where new collaborative projects and initiatives support the Ecosystem’s mission and innovation.

E) Accountability: H2 Springboard Ecosystem members own the responsibility for their actions and their impact on the Ecosystem and its members.

Fair Competition and Antitrust

The participants of the Ecosystem compete fairly, openly and independently and comply with all laws protecting fair competition.

In the common Ecosystem events where there may be present ecosystem participants that are competitors or potential competitors, we will strictly follow the guidelines set by competition laws. Particularly, we

  • Adhere to the topics in the written agenda of the meeting and refrain from discussing topics that are prohibited or restricted by competition laws.
  • Not exchange (directly or indirectly) confidential, strategic, or commercially sensitive information among ecosystem members that are competitors or potential competitors.
  • Any disclosed roadmaps or strategies must be limited to publicly available content.

Any discussion, agreement or understanding (direct or indirect) with a competitor on fixing prices, allocating markets, customers or bids, or restricting production or collective boycotts is illegal.

Preparation of co-innovation projects among ecosystem partners

  • Preparation of co-innovation projects will take place through project specific consortium where one of the Ecosystem partners assumes the lead for the project, setting up the project specific roles and responsibilities for the selected project partners. Projects will be governed by specific agreements, for example project specific NDA, joint development agreements and/or consortium agreements.
  • In order to avoid issues related to competition law, common Ecosystem events will not be used for the preparation of the co-innovation projects.
